Companies Act
The Companies Act 2006 is the largest piece of legislation ever passed by Parliament. It comes into effect in stages, and by 1 October 2009 the whole of the Act will be in force.
It brings in major changes to UK company law including the codification of directors' duties and the new procedure for shareholders to bring derivative actions against directors, the streamlining of the regulatory regime for private companies, and a scheme of electronic and web-based company communications. Also for the first time, auditors and companies may enter into agreements to limit an auditor’s liability to a company in relation to the audit of the accounts.
