1 Repayment of training costs1
1.1 From time to time the Company may pay for you to attend training courses. In consideration of this, you agree that if [you fail to start employment with the Company or] your employment terminates after the Company has incurred liability for the cost of you doing so, you will be liable to repay some or all of the fees, expenses and other costs (the Costs) associated with such training courses in accordance with clause 1.2.
1.2 Except in the circumstances set out in clause 1.3, you shall repay the Company as follows:
1.2.1 [if you fail to start employment with the Company but we have already incurred liability for the Costs, [100%] of the Costs or such proportion of the Costs that the Company cannot recover from the course provider shall be repaid;]
1.2.2 if you cease employment before you attend the training course but the Company has already incurred liability for the Costs, [100%] of the Costs, or such proportion of the Costs that the Company cannot recover from the course provider, shall be repaid;
1.2.3 if you cease employment during the training course, or within [12] months of completing the training course, [100%] of the Costs shall be repaid;
1.2.4 if you cease employment more than [12] months, but no more than [24] months after completion of the training course, [50%] of the Costs shall be repaid;
1.2.5 if you cease employment more than [24] months, but no more than [36] months after completion of the training course, [25%] of the Costs shall be repaid.
Thereafter, no repayment shall be required.
1.3 You shall not be required to repay any of the Costs under this clause 1 if:
1.3.1 the Company terminates your employment on the grounds of redundancy [or pursuant to an application by you for voluntary redundancy]; or
1.3.2 you terminate your employment in response to a fundamental breach by the Company.
1.4 If, after the Company has made any deductions from your final salary or any outstanding payments due to you (or it has not been possible to make such deductions for any reason), the Costs or any portion of them have not been fully repaid by you in accordance with this clause, you agree that you shall repay any outstanding Costs owed by you to us within [number] [weeks OR month[s]] of your employment termination date. [The Company may, in its discretion, agree a repayment schedule with you.]
1.5 By signing this [letter/policy/agreement], you agree to the Company deducting the sums under this clause from your final salary or any outstanding payments due to you, and to repay any additional amount due.
1.6 You agree that if the Company waives your obligation to repay the Costs under this clause, you will be solely responsible for any income or other tax payable as a result of the waiver and you shall indemnify the Company on a continuing basis in relation to any such tax.
1 An agreement which has the effect of retaining the employee in the Company for a fixed period after training may dissuade the employee from leaving and, as such, may amount to a restraint of trade. An agreement seeking repayment if the employee leaves before a certain date can have a similar effect and can also be unenforceable for being a penalty clause. To avoid such an agreement being unenforceable as a restraint of trade, the Company must have a legitimate proprietary interest that they are seeking to protect, and the agreement must be no wider than necessary to protect that legitimate interest.
