Charlotte is a Principal Associate in our corporate department advising on all aspects of corporate law (both nationally and internationally), including venture capital, mergers and acquisitions, turnaround/distressed situations, and private equity transactions, with a focus on technology.
Charlotte works with a variety of clients including private companies, venture capital investors and companies, management teams and owner-managed businesses. Experience includes advising:
- Lakestar on its investment as part of a $50 million series C fundraise into spend optimisation platform, Vertice;
- Alicorn Venture Partners on its acquisition of Glassbox, a provider of digital customer experience analytics for web and mobile apps, delisting the provider of AI-fuelled customer intelligence solutions from the Tel Aviv Stock Exchange;
- Hilco Capital on backing the management team in the acquisition of Lakeland Limited;
- Twenty7Tec, a leading adviser tech provider and a market leader in the provision of technology to mortgage advisers and lenders, on its £16.5m investment by BGF;
- Lakestar on its investment into Doccla, a tech-enabled virtual hospital in Europe, as part of a £35 million Series B investment round;
- technology search fund, Aurias, on its acquisition of IT security services provider, Saepio Solutions;
- asset management group, Gresham House, on the sale of Independent Wealth Planners to Titan Wealth (including approximately £6.6 billion of client assets);
- EVC Chargers Ltd on the £165m investment by Denham Capital;
- BGF on their investment into Brompton Bicycle;
- Peloton, on its acquisition of Rogo Scott;
- Gresham House's British Sustainable Infrastructure Funds on their £164 million follow-on investment into Borderlink Broadband Limited;
- the shareholders of Bramble Foods Limited, a manufacturer and distributor of fine foods, on the investment from private equity firm LDC;
- GEMS Education on the sale of GEMS' international schools, Tropicana Metropark in Kuala Lumpar and Pearl City in Penang, to XCL Education;
- VivoPower, an international battery technology, electric vehicle and solar power services company, on their capital raising of $28.75 million through the issuance of new shares on Nasdaq; and
- Gresham House Ventures on their £63 million investment into Telcom Group Ltd, a full-stack UK internet service provider.
