Completed on 30 September 2026, Shoosmiths advised Dragonpass on all aspects of the transaction, including transaction structuring, legal due diligence, negotiation of the transaction documents, warranty and indemnity insurance arrangements, completion mechanics and post-completion integration matters. The firm also provided specialist advice on commercial contracts, regulatory and payments matters, intellectual property, cyber security, data protection and employment issues.

Founded in Manchester, iCoupon has grown into a market leader in aviation-focused digital voucher issuance. The acquisition combines Dragonpass' global travel and lifestyle platform, which serves more than 40 million cardholders worldwide, with iCoupon's digital vouchering network spanning more than 200 airlines, 4,000 retail locations and 400 airports across 56 countries.

Having worked together for almost a decade, Dragonpass and iCoupon already share a strong commercial relationship and integrated technologies. The transaction expands Dragonpass' offering beyond airport lounges and travel ancillaries, creating a broader platform for airlines, airports, retailers and travellers.

Wei Wu, Partner at Shoosmiths, said: "Dragonpass and iCoupon are a natural fit, combining complementary strengths, a longstanding relationship and a shared commitment to innovation. As traveller expectations continue to evolve, the combined business is well placed to deliver a broader range of connected travel experiences and create value for customers, partners and travellers worldwide."

The transaction builds on Shoosmiths' longstanding relationship with Dragonpass, having previously advised the business on intellectual property matters and commercial contracts with key customers.

The Shoosmiths team was led by Corporate Partners Wei Wu and Kurt Ma, supported by the cross-disciplinary team across the firm and the Corporate team members of Legal Director Charlotte Cannell, Principal Associate Arjun Mehta, Senior Associate Sadia Hussain, Associates Nurul Amin, Maddie Fretwell and Kyle Tong, and Legal Administrator Shay Wu.
