Shoosmiths has advised the selling shareholders and management of TMA, a leading UK-based energy data collection and aggregation business, on a private equity investment from Magnesium Capital.

The deal marks a significant milestone for TMA and reflects the growing interest in the data and digital infrastructure underpinning the UK’s energy transition. Magnesium Capital’s acquisition of a majority stake in TMA will support its continued growth throughout the implementation of the Market-wide Half-Hourly Settlement (“MHHS”), a key reform to the industry that places businesses with TMA’s capabilities at the centre of the energy market.

The MHHS reform officially went live for industry migration on 22 October 2025 and has demanded the reshaping of the UK electricity market, now requiring meters across residential and commercial sites to be settled based on consumption data recorded every 30 minutes. The programme is scheduled to complete in spring 2027.

Shoosmiths has previously advised TMA on a range of corporate matters over several years, including its initial MBO and several bolt-on acquisitions and in this deal provided support to TMA, Shareholders and Management across multiple service lines including Corporate, Equity, Tax and Management Incentives.
